Please read these Terms of Service carefully before using Luceo Education Suite. These Terms constitute a legally binding agreement between you and TexSphere Technology Services Ltd regarding your use of the Service.
1. Acceptance of Terms
By accessing or using Luceo Education Suite (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service. These Terms apply to all users of the Service, including teachers, school administrators, students, government agencies, and independent learners. If you are using the Service on behalf of an institution or organisation, you represent that you have the authority to bind that entity to these Terms.
2. Description of Service
Luceo Education Suite is a cloud-based Software-as-a-Service (SaaS) platform and mobile application that provides: • AI-powered lesson note generation aligned to approved national curricula • A Learning Management System (LMS) for teachers and schools • School Management System for administrators • Computer-based Test (CBT) with remote proctoring • AI Whiteboard for live classroom teaching • Luceo Study App for independent learners The Service is operated by TexSphere Technology Services Ltd, registered in Nigeria.
3. Account Registration
To access most features of the Service, you must register for an account. You agree to: • Provide accurate, current, and complete registration information • Maintain the security of your account credentials • Notify us immediately of any unauthorised use of your account • Take responsibility for all activity that occurs under your account Accounts registered on behalf of a school or institution must have authorisation from that institution. We reserve the right to terminate accounts that provide false information.
4. Acceptable Use
You agree not to use the Service to: • Upload, transmit, or distribute content that is unlawful, harmful, or violates third-party rights • Attempt to gain unauthorised access to any part of the Service or its infrastructure • Interfere with or disrupt the integrity or performance of the Service • Use automated scripts or bots to access the Service without written permission • Reproduce, duplicate, or resell any part of the Service without authorisation • Engage in academic dishonesty, including using the Service to circumvent assessment integrity controls • Collect or harvest user data from the platform Violation of these terms may result in immediate account suspension or termination.
5. Payment and Billing
Certain features of the Service are available on a paid subscription basis. • Subscriptions are billed in advance on a monthly or annual basis • All fees are non-refundable except where required by applicable law • Annual plans are eligible for the published annual discount (currently 17%) • We reserve the right to change subscription fees with 30 days' prior notice • Failure to pay may result in suspension or termination of your account • Payment processing is handled by third-party providers (e.g., Stripe, Flutterwave) in accordance with their terms For institutional and government plans, invoicing terms may be agreed separately in a service agreement.
6. Intellectual Property
All content, features, and functionality of the Service — including but not limited to software, text, graphics, logos, icons, and AI-generated outputs derived from Luceo's own models — are owned by TexSphere Technology Services Ltd or its licensors and are protected by applicable intellectual property laws. You retain ownership of any content you upload to the Service ("User Content"). By uploading content, you grant Luceo a limited, non-exclusive, royalty-free licence to use, store, and process that content solely to provide the Service to you. Textbooks and third-party materials available on the platform are sourced under appropriate licences. See our Copyright Policy for full details.
7. Data Privacy
Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to our collection and use of your data as described in the Privacy Policy. We comply with applicable data protection laws including the Nigeria Data Protection Regulation (NDPR), GDPR, and CCPA.
8. Disclaimers and Limitation of Liability
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. To the maximum extent permitted by law, Luceo Education Suite and TexSphere Technology Services Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of or in connection with your use of the Service. Our total liability for any claim arising from these Terms shall not exceed the amount you paid us in the twelve months preceding the claim.
9. Termination
We reserve the right to suspend or terminate your account and access to the Service at our discretion, with or without notice, for conduct that we believe: • Violates these Terms or applicable law • Is harmful to other users, third parties, or the Service You may cancel your account at any time through your account settings. Upon termination, your right to use the Service ceases immediately. We may retain certain data as required by law or for legitimate business purposes.
10. Governing Law
These Terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Ogun State, Nigeria.
11. Changes to Terms
We may revise these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page with a revised effective date. Your continued use of the Service after any changes constitutes your acceptance of the new Terms.
